Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of our website and services provided by Carlos Henrique Alves, trading as Rick Marketing (“we,” “us,” or “our”).
1. Services We Provide
1.1 Full Package Service –
€1190
- Website Development: Functional business websites designed for service/product promotion (no e-commerce)
- Initial Digital Marketing: Google Ads campaign setup
- Includes: Domain registration (up to €40), email account setup (5GB storage), first month maintenance and digital marketing at no additional cost
- Delivery Time: Typically 7 days from project commencement
1.2 Ongoing Services
- Maintenance: €99/month (only available for websites we’ve built)
- Digital Marketing: €190 + 10% of Ad Spend/month (Google Ads focused)
1.3 Service Limitations
We provide functional, conversion-focused websites designed to guide visitors through a sales journey. Our service does not include:
- E-commerce functionality
- Custom animations or exclusive graphic design
- Website performance guarantees beyond basic functionality
- Sales or conversion guarantees
2. Service Process and Timeline
2.1 Project Commencement
Work begins when we notify you by email that we’re starting your project. If we’re completing another project, you’ll be informed of the expected start date.
2.2 Service Phases
- Initial Requirements: We request business information and strategy details
- Client Response: You provide requested information and content
- Development Phase: We create design framework, logo concepts, and domain suggestions
- Content Finalization: You provide raw content; we polish and optimize it
- Website Delivery: Functional website delivered with domain and email setup
- Marketing Setup: Google Ads campaign created with your chosen budget
- Campaign Activation: You control campaign activation/deactivation
3. Payment Terms
3.1 Payment Schedule
- Full Package: Payment required upfront via Stripe
- Ongoing Services: Monthly billing in advance
- Digital Marketing: €190 + 10% of Ad Spend of previous month
3.2 Payment Methods
We accept card payments through Stripe. Payment plans may be available subject to Stripe’s terms.
4. Cancellation and Refunds
4.1 Full Package Cancellations
- Before First Response: Full refund available if you request cancellation before sending your first information email
- After Project Commencement: refund available within 30 days of payment. €200 administrative fee retained, regardless of project completion status
- Refund Processing: Refunds processed within 14 days via original payment method
4.2 Ongoing Service Cancellations
Maintenance Service:
- No refunds available for any completed or partial service periods
- Can be cancelled at any time with 30 days’ notice
- If service is resumed and cancelled again, notice period is reduced to the remaining days from the original 30-day period
- Once cancelled, maintenance service cannot be renewed
Digital Marketing Service:
- Can be cancelled before work commences with full refund
- No refunds available once work begins or campaigns are launched
- Service stops immediately upon non-payment
- Campaigns are created in your Google Ads account – you retain ownership of all campaign data and settings
- You are responsible for removing our access to your Google Ads account upon service termination
4.3 Website Transfer After Maintenance Cancellation
If maintenance is cancelled, we suggest to transfer your website to your chosen hosting provider. If transfer is declined, the website will be removed according to the notice period specified above.
5. Website Ownership and Access
5.1 During Service Period
- We retain administrative control of websites for 120 days after delivery
- You can request content changes during the first month (included) or via paid maintenance
- Website export/backup features are restricted during this period
5.2 After Service Period
- Full administrative rights transferred after 120 days or upon request
- We can transfer the website to your hosting provider
- All intellectual property in final deliverables transfers to you
6. Intellectual Property
6.1 Your Content
You retain ownership of all content, information, and materials you provide. You grant us a license to use this content for service delivery.
6.2 Our Work Product
All website design, code, and optimization work becomes your property upon full payment and completion of the dispute period (the time frame during which payment disputes can be initiated through Stripe, typically 120 days).
6.3 Third-Party Tools
Our services utilize third-party tools including:
- WordPress and associated plugins (distributed under GPL and other licenses)
- Hosting services and Cloudflare
- Google Ads platform
- Domain registration services
WordPress Plugins: We use plugins distributed under various licenses, primarily GPL. After service completion:
- You may continue using all installed plugins
- During Maintenance Service: We handle all plugin updates, security monitoring, and compatibility issues
- After Maintenance Cancellation: You are responsible for maintaining plugin security, updates, and compatibility independently
- Updates and official support may require separate licensing arrangements with original developers if you choose to maintain plugins yourself
- We recommend keeping plugins updated through official channels when managing independently
All third-party tools are subject to their respective terms of service.
7. Service Dependencies and Limitations
7.1 Technical Dependencies
Our services depend on third-party platforms including:
- WordPress and associated plugins
- Hosting providers and Cloudflare
- Google Ads platform
- Domain registration services
We are not liable for service interruptions caused by these third-party dependencies.
7.2 Business Results Disclaimer
While we design websites and campaigns for optimal performance:
- We do not guarantee specific sales, conversions, or business results
- Success depends on factors including market conditions, competition, product quality, and pricing
- Website loading times typically under 3 seconds, but may vary based on external factors
8. Liability and Warranties
8.1 Service Warranty
We warrant that our services will be performed with reasonable skill and care. If services fail to meet basic functional requirements due to our direct actions or errors, we will remedy the issue at no additional cost.
8.2 Scope of Responsibility
We are only responsible for issues that are the direct result of our actions or negligence. We are not responsible for any problems, damages, or issues that arise from:
Third-Party Services:
- Failures, outages, or malfunctions of WordPress, hosting providers, Cloudflare, Google Ads, domain registrars, or any plugins
- Changes to third-party terms, pricing, functionality, or policies
- Security breaches or data issues at third-party providers
- Platform updates that affect website or campaign performance
Client Actions:
- Any modifications, changes, or actions performed by you or parties acting on your behalf
- Issues arising after administrative access has been granted to you
- Content, images, or information provided by you
- Business decisions regarding pricing, product positioning, or market strategy
External Factors:
- Market conditions, competition, or economic factors affecting your business results
- Internet connectivity, device compatibility, or user browser issues
- Government regulations or legal changes affecting your business or marketing
8.3 Administrative Access Disclaimer
Once you receive administrative access to your website or marketing accounts, you assume full responsibility for any changes, modifications, or issues that may arise. We are not liable for any problems that occur after administrative access has been transferred or granted.
8.4 Limitation of Liability
Subject to applicable law, our total liability for any claims relating to our services is limited to €1,000, and only applies to damages directly caused by our actions or negligence. We are not liable for:
- Loss of profits, revenue, or business opportunities
- Indirect, consequential, or punitive damages
- Any damages exceeding €1,000 in aggregate
- Any issues not directly caused by our actions
8.5 Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under Irish and EU law.
8.6 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, infrastructure failures, cyberattacks, or other unforeseeable events.
9. Data Protection and Privacy
We process your personal data in accordance with the General Data Protection Regulation (GDPR) and Irish Data Protection Act 2018. You have rights including access, rectification, erasure, and portability of your personal data. See our Privacy Policy for full details on how we collect, use, and protect your information.
10. Communications and Notices
All official communications regarding these Terms and our services will be sent via email to the address you provide during service signup. You agree to keep your email address current and check it regularly. Website updates and general announcements may be posted on our website.
11. Termination
11.1 Termination by Us
We may terminate services immediately if you:
- Breach these terms
- Provide false or misleading information
- Engage in abusive or threatening behavior
- Fail to make required payments
11.2 Effect of Termination by Us
Upon termination due to client breach:
- We will cease providing services immediately
- No refunds will be provided for services already rendered or work completed
- If termination occurs before any work has commenced, we may provide a refund at our discretion
- Websites may be removed from our hosting within 30 days’ notice
- Any ongoing monthly services will be cancelled immediately
11.3 Termination by Client
Clients may terminate services according to the cancellation terms outlined in Section 4.
11.4 General Effect of Termination
Upon any termination, we will cease providing services and may remove websites from our hosting within 30 days’ notice.
12. General Terms
12.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between us regarding our services.
12.2 Changes to Terms
We may update these Terms by posting changes on our website. Continued use of our services constitutes acceptance of updated Terms.
12.3 Governing Law
These Terms are governed by Irish law, and any disputes will be subject to the jurisdiction of Irish courts.
12.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.
